Raj is of counsel with BAX Securities Law, providing corporate finance, securities & corporate commercial advice to public and private companies and investment funds. 

Raj’s clients include venture capital and private equity funds, startups and emerging companies, and other growth-stage enterprises across a range of industries such as fintech, mining & natural resources, energy, technology, real estate, food & beverage, trucking & logistics, medical clinics, and consumer products. 

Raj’s practice is concentrated in providing advice to public companies and investment funds on interim and periodic reporting requirements under securities legislation and exchange rules including financial reporting, news releases, material change reports, early warning reports, change of business reports, annual and special meetings (management information circulars and meeting documents), insider reporting and equity compensation arrangements. 

Raj also provides advice to private companies on exempt equity and debt financings, including applicable disclosure and filing requirements for brokered and non-brokered private placements including broker-dealer related documents. 

Raj’s public and private mergers & acquisitions experience includes drafting transaction documentation, conducting due diligence, advising on applicable securities requirements for management buyouts, going private transactions, take-over bids, related party transactions, reverse takeovers, plans of arrangement, share purchase agreements and amalgamation agreements as well as associated securities filings.

Raj brings a strong understanding of emerging technologies and regulated business models, including blockchain and digital asset-related issues. He has authored a chapter on Blockchain & Smart Contracts in Trade Finance in the Canadian legal textbook Law in International Finance.
